W Social — Terms of Use (for the Beta Phase)

1. Introduction

1.1. These Terms of Use (“Terms”) form a legally binding agreement between you and W Social AB, Malmgårdsvägen 63, 116 38 Stockholm, Sweden, a company incorporated under the laws of Sweden registered under no. 5595446690 (“W Social AB”, “we,” “us,” or “our”). By creating an account on the W Social platform (“Platform”, or “W Social”), you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Platform. By activating your account, we accept your offer submitted at registration to conclude a contract for using the Platform governed by these Terms.

1.2. W Social is a social network built on the Authenticated Transfer Protocol (“AT Protocol”), an open and decentralized protocol for social networking. The AT Protocol is designed to make different social networks and applications interoperable, which means that content published on W Social can be accessed by other platforms and services that also use the AT Protocol (such as Bluesky or Eurosky), and vice versa. More information about the AT Protocol can be found in section 2 and at https://atproto.com/.

1.3. W Social is designed with a foundational commitment to user privacy. Every account must be linked to a verified human identity, but we do not collect, retain, or access personally identifiable information sufficient to determine the actual identity of our users. Identity verification is carried out by W Identity AB (“W Identity”), a separate legal entity and separate data controller (see for details Sections 3.2–3.4 and 7).

2. Open Protocol Content Sharing and Interaction Controls

2.1. Your Content (within the meaning of Section 5.1) is public. Because W Social is built on the AT Protocol, Your Content is public and distributed over the entire AT Protocol. Your posts, profile information, and other public content may be viewed, copied, indexed, and redistributed by W Social users and users of other AT Protocol platforms (e.g., Bluesky or Eurosky) and third-party applications, search engines, and aggregators – regardless of whether they are W Social users. Content originally posted on other AT Protocol platforms may likewise be accessible to you through W Social; we merely forward such content to your device and do not store it after forwarding.

2.2. AT Protocol limitations. Third-party platforms and services that access Your Content via the AT Protocol are not controlled by W Social and are subject to their own terms and privacy policies. Once content is distributed over the AT Protocol, W Social AB cannot guarantee its deletion or removal from those third-party services – even if you delete it on W Social, copies may persist elsewhere. You should therefore treat anything you post on the Platform for public access as permanently public information and avoid posting content you would not be comfortable sharing with the public.

2.3. Interaction controls. W Social allows you to control who can interact with your posts. For the purposes of these Terms, “interactions” means replies, comments, quote-posts, reactions (such as likes), and reshares (reposts) within the Platform. When creating a post, we may offer you to restrict interactions to any one or any combination of the following audiences:

  • (a) Followers: only accounts that follow you;
  • (b) Followed accounts: only accounts that you follow; or
  • (c) Tagged accounts: only accounts tagged in the specific post;
  • (d) Custom list: only accounts on a custom list you have created on the Platform (see Section 2.4); or
  • (e) Nobody.

If you do not select a restriction, all users may interact with your post. Interaction controls do not affect visibility of public content – once published, Your Content remains public and distributed over the AT Protocol regardless of any interaction restrictions.

2.4. Custom lists. You may create, edit, and delete custom lists of accounts for use with interaction controls. You may modify a custom list at any time; changes apply to new posts and future interactions with existing posts but do not retroactively alter interactions that have already occurred. If you delete a custom list applied to one or more posts, those posts revert to unrestricted interactions unless you assign a different restriction promptly. Custom lists are stored within your account settings, are not visible to other users, and the Platform does not disclose to any user whether they appear on another user’s list. W Social processes custom list data only to the extent necessary to enforce your chosen preferences. You may not use the custom list feature to compile, export, or harvest personal data about other users.

2.5. Limitations of interaction controls. W Social AB will enforce your interaction preferences within the Platform, but the following limitations apply. Because the Platform operates on the AT Protocol, W Social AB cannot guarantee that third-party platforms or services will respect your interaction restrictions if you made Your Content publicly available; users of other AT Protocol clients may interact with your publicly available content in ways not subject to the restrictions you have set. Interaction controls govern only actions taken through the Platform’s native features and do not prevent users from discussing, referencing, copying, or screenshotting your content outside those features. Interaction controls also do not limit W Social AB’s ability to access, review, or act on your content for the purposes of content moderation, enforcing these Terms, or complying with applicable law.

3. Eligibility and Account Registration

3.1. Age requirement. You must be at least eighteen (18) years old to create a W Social account.

3.2. Identity verification through W Identity. To create a W Social account, you must first verify your identity through W Identity. W Identity operates an independent identity verification service that allows you to verify your identity once and then selectively share verified attributes with third-party applications under your control.

3.3. During the W Identity verification process, you will be asked to provide your phone number, email address, and date of birth, and to verify your identity using an official passport (via photo or NFC scan) and a selfie. This process is governed by W Identity’s own terms of service and privacy notice, which are separate from these Terms and will be made available to you before the verification process starts.

3.4. When you create a W Social account, we receive the following data from W Identity, with your explicit approval: your W Identity account number (which does not in itself reveal anything about you), your passport country, and your year of birth. W Social cannot access any other data from W Identity unless you explicitly approve it in the W Identity app.

3.5. One account per person. Because each account must be linked to a verified human identity, you may only hold one W Social account. You may not create accounts on behalf of others or transfer your account to another person.

3.6. Account security. You are responsible for maintaining the security of your account credentials. You must notify us immediately if you believe your account has been compromised. We are not liable for any losses arising from unauthorised use of your account where you have failed to keep your credentials secure (except in cases of mandatory liability as per Section 12).

4. How You May Use W Social

4.1. Permitted use. W Social AB grants you a personal, limited, non-exclusive and non-transferable licence to access and use the Platform in accordance with these Terms.

4.2. Prohibited conduct. You agree not to:

  • (1) use the Platform in any way that violates applicable law or regulation;
  • (2) post or distribute illegal content, including but not limited to content that constitutes incitement to violence or hatred, child sexual abuse material, terrorist content, content that infringes intellectual property rights, or content that violates consumer protection law or the privacy rights of others;
  • (3) impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
  • (4) engage in harassment, bullying, intimidation, or threats directed at any individual or group;
  • (5) distribute spam, unsolicited commercial messages, or malware;
  • (6) attempt to gain unauthorised access to any part of the Platform, other users’ accounts, or any systems or networks connected to the Platform;
  • (7) use automated means (bots, scrapers, crawlers, or similar tools) to access the Platform, except as expressly permitted by the AT Protocol terms or with our prior written consent;
  • (8) circumvent, disable, or otherwise interfere with any security, rate-limiting, or access-control features of the Platform;
  • (9) use the Platform to collect or harvest personal data of other users without their consent and in violation of applicable law;
  • (10) engage in any activity that could damage, disable, overburden, or impair the Platform or interfere with any other party’s use of the Platform; or
  • (11) use the Platform in any manner that could expose W Social AB to legal liability.

4.3. Changes to the Platform. W Social AB may from time to time modify, update, or discontinue features or functionality of the Platform, for example to reflect changes in technology, legal or regulatory requirements, security needs, or user feedback. Where a planned change would materially degrade the quality or accessibility of the Platform or significantly alter the nature of the service provided to you, we will give you reasonable advance notice (via email or in-app notification) before the change takes effect. If such a material change negatively affects your use of the Platform and you do not wish to continue using the Platform as modified, you may terminate your account in accordance with Section 9.1. This Section 4.3 applies to changes to the Platform’s features and functionality and is without prejudice to Section 15.1, which governs changes to these Terms.

4.4. Third-party links and services. The Platform may contain links to, or allow you to interact with, websites, applications, or services operated by third parties (“Third-Party Services”). W Social AB does not control, endorse, or assume any responsibility for the content, privacy practices, availability, or accuracy of any Third-Party Services. Your use of Third-Party Services is at your own risk and is subject to the terms and privacy policies of the relevant third party. W Social AB is not liable for any loss or damage arising from your use of, or reliance on, any Third-Party Services (except in cases of mandatory liability as per Section 12).

5. Your Content

5.1. Ownership. You retain ownership of any content that you create and post on the Platform (“Your Content”). W Social AB does not claim ownership of Your Content.

5.2. Licence grant. By posting Your Content on the Platform, you grant W Social AB a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, host, store, reproduce, modify, create derivative works from, distribute, publish, and display Your Content to the extent necessary to operate, provide, promote, and improve the Platform, and to distribute Your Content over the AT Protocol in accordance with the AT Protocol’s terms.

5.3. Public content. As explained in Section 2, Your Content posted on the Platform can be distributed over the AT Protocol and may be accessed by anyone. You acknowledge that by posting Your Content, you are making it publicly available. Where you apply interaction restrictions to Your Content (as described in Section 2.3), these controls limit who can interact with Your Content within the Platform but do not restrict public visibility of Your Content itself.

5.4. Responsibility for Your Content. You are responsible for Your Content. You represent and warrant that: (a) you have all rights, licences, and permissions necessary to post Your Content and to grant the licence in Section 5.2; and (b) Your Content does not violate these Terms, any applicable law, or the rights of any third party.

5.5. Feedback. If you provide us with suggestions, ideas, or other feedback about the Platform, we may use such feedback without restriction and without obligation to you.

6. Intellectual Property

6.1. The Platform, including its software, design, trademarks, logos, and all other intellectual property (excluding Your Content), is owned by or licensed to W Social AB and is protected by applicable intellectual property laws.

6.2. Nothing in these Terms grants you any right, title, or interest in W Social AB’s intellectual property, other than the limited licence set out in Section 4.1.

6.3. Intellectual property complaints. W Social AB respects the intellectual property rights of others. If you believe that content on the Platform infringes your copyright or other intellectual property rights, please submit a notice through the notice-and-action mechanism described in Section 8.3, or contact us directly. Intellectual property complaints will be processed in accordance with the procedures set out in Section 8.

7. Privacy and Data Protection

7.1. We process your personal data in accordance with our Privacy Notice, which is available at W Social Privacy Notice.

7.2. W Social AB and W Identity are separate legal entities and independent controllers under the GDPR. Your use of W Identity’s services is governed by W Identity’s own privacy notice.

7.4. When you create your account, W Social AB receives your W Identity account number, passport country, and year of birth from W Identity.

8. Content Moderation and the EU Digital Services Act

W Social AB is committed to providing a safe and lawful environment. As a provider of an intermediary service under the EU Digital Services Act (Regulation (EU) 2022/2065, “DSA”), we implement the DSA as follows.

8.1. Illegal content. You must not post, share, or distribute content that is illegal under applicable EU or Member State law or qualifies as prohibited conduct under Section 4.2.

8.2. Content moderation policies. W Social AB applies content moderation measures in a diligent, objective, and proportionate manner, with due regard for the fundamental rights of all users, including freedom of expression and information, non-discrimination, and the protection of privacy.

8.3. Notice-and-action mechanism. Any individual or organisation may notify us of the presence on the Platform of content that they consider to be illegal. Notices can be submitted through the mechanism available on the Platform and should contain:

  • (a) a sufficiently substantiated explanation of why the content is alleged to be illegal;
  • (b) a clear indication of the electronic location of the content (e.g., a URL or link);
  • (c) the name and email address of the individual or organisation submitting the notice; and
  • (d) a statement confirming the good faith belief that the information and allegations are accurate and complete.

8.4. We will process notices in a timely, diligent, non-arbitrary, and objective manner. If a notice contains sufficient contact information, we will send a confirmation of receipt and notify the submitter of our decision without undue delay.

8.5. Trusted flaggers. Notices submitted by entities that have been awarded “trusted flagger” status by a Digital Services Coordinator of any EU Member State will be processed with priority. See https://digital-strategy.ec.europa.eu/en/policies/trusted-flaggers-under-dsa for more information.

8.6. Decisions and statement of reasons. Where we decide to remove or restrict the visibility of content, suspend or terminate an account, or take other action against content or a user, we will provide the affected user with a clear and specific statement of reasons, including:

  • (a) the facts and circumstances relied upon;
  • (b) where applicable, the use of automated means in reaching the decision;
  • (c) a reference to the legal ground or contractual ground relied upon; and
  • (d) information about available redress options.

8.7. Internal complaint-handling system. Users who are affected by content moderation decisions (including content removal, account suspension, or account termination) may lodge a complaint through our internal complaint-handling system within six months of the decision. Complaints can be submitted at info@wsocial.eu. We will handle complaints in a timely, non-discriminatory, diligent, and non-arbitrary manner, and will reverse the decision where the complaint reveals that the action was not justified. We will inform users of the outcome of their complaint without undue delay.

8.8. Out-of-court dispute settlement. Without prejudice to your right to bring proceedings before a court, you have the right to refer a content moderation dispute to a certified out-of-court dispute settlement body under the DSA. A list of certified bodies is published by the European Commission.

8.9. Reporting to authorities. Where we become aware of information giving rise to a suspicion that a criminal offence involving a threat to the life or safety of a person has taken place, is taking place, or is likely to take place, we will promptly inform the relevant law enforcement or judicial authorities of the EU Member State(s) concerned.

8.10. Terms and automated moderation. Where we use automated tools to detect, identify, or act against illegal content or content that violates these Terms, we will provide information about this in our transparency reports and in individual statements of reasons, including an indication of the accuracy and possible error rates of such tools.

8.11. No general monitoring obligation. Nothing in these Terms imposes a general obligation on W Social AB to monitor or actively seek facts or circumstances indicating illegal activity.

8.12. Recommender systems. When you use the Platform, content is presented to you through one or more feeds and through search results. The main parameters that determine which content is displayed to you, and in what order, include recency of the post, whether the author is an account you follow, the number and type of interactions (likes, replies, reshares) a post has received, the topic or subject matter of the post, your in-app behaviour (e.g., posts you have viewed, liked, or interacted with), and your country or language preferences. You may adjust how content is recommended to you through the Platform’s settings.

9. Suspension and Termination

9.1. Termination by you. You may terminate your account at any time through the Platform’s account settings or by contacting us at info@wsocial.eu. Upon termination, your right to use the Platform will cease immediately. Please note that, as described in Section 2, content previously distributed over the AT Protocol may persist on third-party platforms even after your account is closed.

9.2. Suspension and termination by W Social AB. We may suspend or terminate your account, or restrict your access to the Platform, if:

  • (1) you breach these Terms;
  • (2) we are required to do so by law or by order of a competent authority;
  • (3) your continued use of the Platform poses a risk to the safety or security of other users, the Platform, or third parties; or
  • (4) your account has been inactive for 12 months.

9.3. Before suspending or terminating your account (except where required by law or in urgent circumstances to protect safety), we will, where practicable, provide you with a statement of reasons and an opportunity to address the issue. We will act in a diligent, objective and proportionate manner in applying and enforcing terminations and suspensions and take into account your legitimate interests.

9.4. Recurrent violations. In accordance with the DSA, where a user frequently posts manifestly illegal content or frequently submits manifestly unfounded notices or complaints, we may suspend the provision of our services to that user for a reasonable period after having issued a prior warning.

9.5. Effect of termination. Upon termination, Sections 2, 5, 6 and 10 through 16 of these Terms will survive.

10. Paid Services

W Social is currently offered free of charge. If we introduce paid features in the future, we will update these Terms accordingly and provide you with reasonable advance notice.

11. Warranty Disclaimer

11.1. Without prejudice to your mandatory statutory rights (see Section 11.2), W Social AB does not make any voluntary representations or warranties regarding the Platform beyond those required by applicable law. The Platform is provided on an “as available” basis, and W Social AB does not guarantee that the Platform will operate without interruption, errors, defects, or security vulnerabilities, or that any defects will be corrected.

11.2. Consumer statutory rights preserved. Nothing in this Section 11 excludes or limits any warranty or right that cannot lawfully be excluded under applicable law. If you are a consumer, your statutory rights remain fully unaffected.

12. Limitation of Liability

12.1. W Social AB is liable without limitation under applicable statutory provisions for damages arising from injury to life, limb, or health based on a negligent or intentional breach of duty by W Social AB, its legal representatives, or its vicarious agents. The same applies for any guarantees issued by W Social AB or for any other strict liability imposed by applicable law.

12.2. W Social AB is also liable without limitation for damages based on an intentional or grossly negligent breach of duty by W Social AB, its legal representatives, or its vicarious agents.

12.3. W Social AB is not liable for damages arising from a breach of duty based on simple negligence, except as provided in Section 12.4.

12.4. Section 12.3 does not apply to damages arising from breaches of essential contractual obligations based on simple negligence. For such damages caused by W Social AB, its legal representatives, or its vicarious agents, W Social AB’s liability is limited to the damage that was foreseeable and typical at the time the contract was concluded. Essential contractual obligations are obligations whose fulfilment is a prerequisite for the proper provision of the Platform and on whose compliance you regularly rely and are entitled to rely.

12.5. To the extent that W Social AB’s liability is excluded or limited under this Section 12, the same exclusion or limitation applies to the personal liability of W Social AB’s legal representatives, employees, and other vicarious agents.

13. Indemnification

Where you have acted with intent or negligence, you agree to indemnify W Social AB and its officers, directors, employees, and agents against any claims, losses, and expenses (including reasonable legal fees) arising from: (a) Your Content; (b) your use of the Platform in violation of these Terms; or (c) your violation of any applicable law or third-party rights. This obligation does not apply where the claim arises from W Social AB’s own negligence, wilful misconduct, or breach of these Terms, nor does it apply to consumers to the extent prohibited by mandatory consumer protection law.

14. Governing Law and Jurisdiction

14.1. Governing law. These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict-of-laws rules.

14.2. Jurisdiction. Subject to Section 14.3, any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Sweden. The courts at W Social AB’s registered seat shall have jurisdiction, unless mandatory law provides otherwise.

14.3. Consumer protection. If you are a consumer habitually resident in a Member State of the European Union, you also enjoy the protection of the mandatory provisions of the consumer protection laws of your country of residence. Nothing in these Terms shall deprive you of your right, as a consumer, to bring proceedings in the courts of your country of domicile, in accordance with applicable EU and national law.

14.4. Alternative dispute resolution. If you are a consumer resident in the EU, you have the right to refer a dispute to a certified alternative dispute resolution body in your Member State, in accordance with Directive 2013/11/EU on alternative dispute resolution for consumer disputes.

15. General Provisions

15.1. Changes to these Terms. When we propose changes to these Terms, we will post the revised Terms on the Platform and update the “Last updated” date at the top of these Terms. We will notify you of the proposed changes by email, through the Platform, or through any other contact method made available by us and selected by you, at least 30 days before the date the proposed changes become effective. The notification will inform you of your right to reject them by terminating your account at any time before the effective date of the proposed changes and the consequences of not rejecting them. If you disagree with any proposed change to these Terms, you may terminate your account at any time before or after the change takes effect, without penalty. Unless you terminate your account before the effective date, your continued use of the Platform on or after that date means you accept the revised Terms. This does not affect your statutory rights, including any right to terminate at any time with effect for the future.

15.2. Entire agreement. These Terms constitute the entire agreement between you and W Social AB with respect to your use of the Platform.

15.3. Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or, if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

15.4. No waiver. W Social AB’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.5. Assignment. W Social AB may assign or transfer its rights and obligations under these Terms to a third party, provided that such assignment does not reduce your rights under these Terms. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

15.6. Language. These Terms are drafted in English. If these Terms are translated into any other language, the English-language version shall prevail in case of any discrepancy.

16. Apple App Store and Google Play Required Terms

The Apple App Store and Google Play (each, an “App Store Provider”) require us to include the following additional terms if you download or access our app through an App Store Provider:

  • (1) These Terms are between you and W Social AB – not the App Store Provider. The App Store Provider has no responsibility for the Platform or its content.
  • (2) W Social AB is solely responsible for the Platform, including any claims, losses, liabilities, or expenses arising from its failure to meet any applicable warranties. If the Platform does not conform to a warranty, you may notify the App Store Provider – but, to the maximum extent permitted by applicable law, the App Store Provider will have no further warranty obligations.
  • (3) The App Store Provider is not obligated to provide maintenance or support services for the Platform.
  • (4) The App Store Provider is not responsible for addressing any claims you or third parties may have in connection with the Platform, including product liability, legal compliance, or intellectual property infringement.
  • (5) If a third party claims that your use of the Platform infringes their intellectual property rights, W Social AB – not the App Store Provider – is solely responsible for handling that claim under these Terms.
  • (6) The App Store Provider and its affiliates are third-party beneficiaries of these Terms and may enforce them accordingly.
  • (7) You must comply with all applicable third-party terms of service when using the Platform, including any terms imposed by the App Store Provider.
